Three rules that only apply to limited companies

Every invoice needs a description, a date, an amount and a unique number. But a limited company invoice carries extra legal requirements under the Companies Act 2006, and they are the ones most often missed.

  • Your full registered name, exactly as it appears on your certificate of incorporation. If the certificate says “Oakfield Studio Ltd”, the invoice says “Oakfield Studio Ltd” — not “Oakfield Studio”. You can still show a trading name or logo alongside it, but the registered name has to be there.
  • Your registered office address, which is not necessarily where you actually work.
  • Your company registration number and place of registration — for example “Registered in England and Wales”.

The director rule is the one that catches people out: you never have to name a director on an invoice, but if you name one you must name all of them. Most small companies take the simple route and leave directors' names off entirely.

If your company is VAT-registered

Registering a company and registering for VAT are two separate things. A limited company only charges VAT once it has its own VAT registration, and then its invoices must also be VAT invoices — showing the VAT number, the rate and the net, VAT and gross breakdown. Tick the VAT box to reveal those fields; leave it unticked and no VAT appears anywhere on the invoice.

If you are unsure whether your company is registered, check the VAT number on your HMRC letter or in your Government Gateway account before you charge VAT you are not entitled to charge.

How long to keep company invoices

A limited company must keep business records, including invoices, for at least six years from the end of the financial year they relate to — longer than the five years a sole trader needs, and longer still if HMRC opens a check into a return. A folder of PDFs named by invoice number does the whole job.

What must a limited company invoice include?
